These Terms of Service ("Terms") govern your access and use of the services, software, platform, and website (collectively, the "Services") provided by Resolut, LLC ("Resolut," "we," "us," or "our"). By creating an account, uploading content, or otherwise using the Services, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Services.
This section establishes the legal foundation for using our services and how terms may be updated.
By accessing or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy (the "Privacy Policy"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
We may periodically update these Terms. Material changes become effective when posted or otherwise communicated to you (e.g., via email). By continuing to use the Services after changes become effective, you accept the revised Terms.

- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access to your account
- You must have the legal right to manage any music catalogs you upload or connect
- You are responsible for the accuracy of all catalog information
- We reserve the right to verify ownership and remove content that violates these Terms
- You grant us necessary licenses to provide our Services
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload false, misleading, or fraudulent content
- Attempt to circumvent any security measures
- Use the Services for any unauthorized commercial purpose
- Interfere with other users' access to the Services
Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

A Note on Platform Relationships and Data Processing
Resolut does not itself operate, control, or administer any digital distribution platforms, content identification systems, or rights enforcement systems.
Certain features of the Service may display or process data that originates from third-party rights administration partners, distributors, publishers, or other entities that are authorized by applicable platforms or rights holders to access such data. Resolut receives such data solely from these authorized partners or directly from Users and acts only as a technical processor and visualization layer for that information.
Resolut does not submit, file, modify, enforce, or resolve claims within any platform system on a User's behalf, does not have the ability to create or alter rights, ownership status, or enforcement outcomes within any platform environment, and does not represent itself as a partner of, or endorsed by, any platform unless expressly agreed in writing.
Users acknowledge and agree that:
- Any data made available to Resolut through third-party partners or User uploads is provided under the authority and responsibility of the partner or User supplying such data;
- Users are responsible for ensuring that they and any partner they engage are authorized to access, share, and use such data in connection with the Service;
- The use of third-party platforms and services remains subject to the applicable terms, policies, and agreements of those platforms; and
- Resolut makes no representations or warranties regarding the accuracy, completeness, or legal status of third-party data and is not responsible for errors, omissions, or disputes arising from such data.
Resolut reserves the right to restrict, suspend, or terminate access to any data or integrations if required to comply with applicable law, platform terms, or third-party restrictions.

- You may terminate your account at any time
- Certain obligations survive termination
- Services are provided "as is" without warranties
- We are not responsible for user-generated content
- We limit our liability to the extent permitted by law
You agree to indemnify and hold harmless Resolut and its officers, directors, employees, and agents from any claims arising from your use of the Services or violation of these Terms.
We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
